ARTICLE I – Name

The name of the organization is the California Association for Employment in Education and is hereafter referred to as CAEE.
 

ARTICLE II – Mission Statement

The mission of CAEE is to link colleges, universities, school systems, students and education professionals for the purpose of employment in the field of education.
 

ARTICLE III – Membership

Membership in CAEE is organized into three categories:

1.  Institutional Membership (voting status)

a.   Postsecondary institutions (colleges, community colleges, universities) that prepare educators, each with a principal representative identified from that institution. Dues: $50

b.   School systems, both public and private, that hire educators, each with a principal representative identified from that school system. Dues: $50

2.  Associate Membership (nonvoting status)

a.   Not-for-profit organizations in California that support the mission and objectives of CAEE. Dues: $50

b.   For-profit organizations that support the mission and objectives of CAEE. Dues: $150

3.  Individual Membership (voting status)

a.   Retired/out-of-field membership is available to professionals who were representatives of member institutions and who have left the field, yet want to maintain active participation in CAEE. Dues: $25

b.   Emeritus Membership may be conferred by the Board of Directors. Dues: $0
 

ARTICLE IV – Dues

Section 1.  Annual dues shall be determined by the Executive Board and voted upon by the membership at large.  Dues will be due and payable on July 1 of each year.

Section 2.  After payment of dues, members receive access to the members section of the CAEE website and other member resources.

Section 3.  The fiscal year for CAEE shall be from July 1 to June 30.
 

ARTICLE V – Governing Board

Section 1.  The Executive Board shall have the responsibility for evaluating CAEE’s mission, determining program objectives, and developing a structure to ensure the objectives are being fulfilled.  The Executive Board shall serve a two year term.

Section 2.  The Executive Board shall consist of the following elected officers:

-President
-President Elect
-Past President
-Secretary
-Treasurer

Section 3.  Duties of Officers:

1.   President shall preside at all meetings of the Association; shall appoint all committees; shall call all special meetings and shall be ex-officio member of all committees.

2.   President-Elect shall assume the duties of the President in absence of the President, and shall oversee the outreach efforts and activities of the Association.

3.   Past President shall assume the duties of the President and/or President-Elect in their absence; and shall assume the duties of the Chair of the Elections Committee (see Article VI).

4.   Secretary shall keep the records of the meeting of the Association; shall issue notices as designated by the President; and shall perform other duties in connection with that office.

5.   Treasurer shall have charge of all monies of the Association; shall pay all bills which have been submitted and approved; shall deposit all monies in the name of the Association; shall submit a semi-annual financial report to the Board and membership; and shall perform such other duties as may be required in connection with that office.

Section 4.  The Board may also consist of the following appointments:

-Historian
-Membership
-Research
-Awards/Scholarship
-Web/Technology
-Legislative
-Teacher Recruitment
-Professional Development
-Member-at-Large

They shall serve as members of the Board for a term of two years.

Section 5.  Meetings of the Executive Board shall take place semi-annually.  Meetings may take the form of a phone conference or other format deemed appropriate by the Board.  Other meetings of the Board can be held at any time or place as designated by the Executive Board.

Section 6.  Recruitment of new Board members shall be done on an on-going basis.  Potential Board members may be invited to a CAEE Board Meeting to meet the Board members and learn about the roles within the organization (see Article VI, Section 3).
 

ARTICLE VI – Nominations and Elections

Section 1. Officers shall be elected prior to June 30 of each even-numbered year, and shall assume office at the year-end Board meeting. The term of office shall be for two years. Officers shall be elected by mail or electronic ballot or by other means deemed appropriate by the board.

Section 2. Chairpersons shall be appointed at the discretion of the President and the term of service shall be two years.

Section 3. Board Members may be nominated and approved by the majority of the Board. 

Section 4. At the midyear Board meeting, or no later than February 1, the Past-president serving as Chair, will appoint an Elections Committee of three members of the Association. The Elections Committee shall report the slate of officers to the Board by email or other means deemed appropriate by the Chair. The Elections Committee is encouraged to recommend at least one school district personnel administrator for office. Additional nominations may be made by write-in ballot. No nominee shall be named without his/her consent. Officers shall be elected by a simple majority of ballots returned to the Chair of the Elections Committee.

Section 5. Any Board member may resign at any time.

Section 6. If a vacancy occurs in office, the President shall appoint a member to fill said office for the unexpired term.
 

ARTICLE VII – Annual Conference/Meeting

CAEE’s Annual Conference/Meeting may be held at a time and place set at the Board’s discretion to receive a report of the past year’s activities, and for professional development opportunities.
 

ARTICLE VIII – Sources of Revenue

Revenue for the operation of CAEE shall be from three (3) sources as follows:

1.   Annual dues established by the Executive Board as defined in Article IV.

2.       Monies received from the annual recruiting fairs.

3.       Contributions and/or grants from members or other sources.
 

ARTICLE IX – Committees

The Board may create special committees or subcommittees as it may deem appropriate and expeditious to the operation of CAEE.
 

ARTICLE X – Rules of Order

Robert’s Rules of Order shall be the authority upon all questions not covered by the Constitution and Bylaws.
 

ARTICLE XI – Amendments

Amendments to the Bylaws must be presented to the Membership and voted upon in a format deemed appropriate by the Board.  Amendments shall be adopted upon approval of the majority of the voting membership.
